Students should answer any ONE of the following TWO questions:

Question 1

Detail the procedures and the documentation required to register a private limited company focusing on the additional information required to comply with the requirements of the Economic Crime and Corporate Transparency Act 2023.

Question 2

Paul was instrumental in forming Eden plc, which was registered and received its trading certificate in December 2021. It has subsequently come to the attention of the board of directors that the following events have taken place prior to the incorporation of the company:

(a)  Paul entered into a contract in the company's name to buy computer equipment, which the board of directors do not wish to honour.

(b)  Paul entered  into a contract in the company's name to develop a particular patent, which the board of directors of Eden wish to pursue but in relation to which the other party does not wish to proceed.

(c)  Paul  entered  into  an agreement with  Fad  Ltd for business equipment. The agreement was made 'subject to adoption by Eden plc' but now Eden plc does not wish to pursue the agreement.

Analyse the situation from the perspective of the law relating to company promoters and in particular advise ALL the parties involved in relation to the transactions detailed.
